These Terms and Conditions ("Terms") govern your access to and use of the Congo Mining Network website, the MineDir business listings directory, and all related services (collectively, the "Services") operated by Congo Mining Network ("we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, submitting a business listing, publishing content, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.

2. Eligibility

  • You must be at least 18 years of age to use the Services.
  • If you are registering on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
  • You are responsible for maintaining the confidentiality of your account credentials.

3. User Accounts

  • You must provide accurate and complete registration information.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Business Listings (MineDir)

4.1 Listing Requirements

  • All business listing information must be accurate, current, and not misleading.
  • You must have the legal right to represent the company you are listing.
  • Listings must relate to legitimate businesses operating in the mining, extraction, processing, equipment, logistics, or related support services industries.

4.2 Listing Content

  • You retain ownership of the content you submit (company descriptions, images, logos).
  • By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your listing content as part of the Services.
  • We reserve the right to review, edit, or remove listings that violate these Terms or our content guidelines.

4.3 Subscriptions and Payments

  • Certain listing features require a paid subscription plan.
  • Subscription fees are billed in advance according to the selected billing cycle.
  • All fees are non-refundable unless otherwise stated or required by applicable law.
  • We reserve the right to modify subscription pricing with 30 days' advance notice.

4.4 Verification and Featured Placement

  • Verified badges and featured placements are available to eligible subscription plans.
  • Verification indicates a reviewed listing, not an endorsement of the company's products or services.
  • We reserve the right to revoke verification status if a listing is found to contain inaccurate information.

5. Blog and News Content

5.1 Editorial Content

  • News articles and editorial content published by Congo Mining Network are for informational purposes only.
  • We strive for accuracy but do not guarantee the completeness or timeliness of news content.
  • Content should not be construed as professional advice (legal, financial, investment, or otherwise).

5.2 User-Generated Content

  • Registered users may publish blog posts through their company dashboard.
  • You are solely responsible for the content you publish.
  • Content must not infringe any third-party intellectual property rights, contain defamatory material, or violate any applicable laws.
  • We reserve the right to remove user-generated content that violates these Terms without prior notice.

6. Prohibited Conduct

You agree not to:

  • Submit false, misleading, or fraudulent business information.
  • Impersonate any person or entity, or misrepresent your affiliation with any company.
  • Upload content containing malware, viruses, or harmful code.
  • Scrape, crawl, or use automated tools to extract data from the Services without written permission.
  • Interfere with or disrupt the Services, servers, or networks connected to the Services.
  • Use the Services for spam, unsolicited communications, or any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the Services or other users' accounts.

7. Intellectual Property

  • The Congo Mining Network name, logo, MineDir name, website design, and original content are protected by intellectual property laws.
  • You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
  • Third-party trademarks and logos displayed on listings belong to their respective owners.

8. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Services will be uninterrupted, error-free, or secure.
  • Warranties regarding the accuracy, reliability, or completeness of any company listing or news content.

9. Limitation of Liability

To the maximum extent permitted by law, Congo Mining Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use of or inability to use the Services.
  • Any business decisions made based on information found on the Services.
  • Unauthorised access to or alteration of your data.
  • Conduct of any third party on the Services.

10. Indemnification

You agree to indemnify and hold harmless Congo Mining Network, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

  • We may suspend or terminate your access to the Services at any time for violation of these Terms.
  • You may delete your account at any time through your account settings or by contacting us.
  • Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (indemnification, limitation of liability, intellectual property) will continue in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Democratic Republic of the Congo.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
